There are the following advisory and decision making bodies within the Alfa Group Consortium (“Consortium” or “Group”):
Supervisory Board of Alfa Group Consortium. The Group’s supreme consultative body that provides advice and consultation on the strategic development of the Group as a whole as well as of its individual Subholdings. Membership is comprised of the three beneficial shareholders of CTF Holdings Ltd. (“CTF”), certain minority shareholders and top executives of the Group’s Subholdings and representatives from CTF.
Subholding Advisory Committees, Boards of Directors and Supervisory Boards. Guide and co-ordinate the strategic development of the Subholding. Membership is comprised of certain beneficial shareholders of CTF, certain minority shareholders and top executives of the Subholding, independent directors (on certain Subholding Advisory Committees, Boards of Directors and Supervisory Boards), and representatives from CTF.
Subholding Executive Management Board. Consider the most important day-to-day, operating decisions of the Subholding. Membership is comprised predominately of top executives of the Subholding. A representative from CTF sits on each Subholding Executive Management Board as an observing member.
Alfa Group Corporate Statute defines composition and role of various decision making bodies, decision making procedures and corporate governance policies and procedures. It was approved by Supervisory Board of Alfa Group Consortium and adopted by Subholding Boards of Directors.
