There are the following advisory and decision making bodies within the Alfa Group Consortium (“Consortium” or “Group”):

Supervisory Board of Alfa Group Consortium. The Group’s supreme consultative body that provides advice and consultation on the strategic development of the Group as a whole as well as of its individual Subholdings.  The Supervisory Board of Alfa Group Consortium is comprised of CTF’s three beneficial shareholders, certain minority shareholders and top executives of  the Group’s Subholdings and representatives from CTF Holdings Ltd (“CTF”).

Subholding Advisory Committees, Boards of Directors and Supervisory Boards. Guide and co-ordinate the strategic development of the Subholding. Subholding Advisory Committees, Boards of Directors and Supervisory Boards are comprised of certain beneficial shareholders and representatives from CTF, certain minority shareholders and top executives of the Subholding, and independent directors (on some Subholding Advisory Committees, Boards of Directors and Supervisory Boards).

Subholding Executive Management Board. Considers the most important day-to-day, operating decisions of the Subholding.  It is comprised predominately of top executives of the Subholding and minority shareholders which hold executive positions in the Subholding. A representative from CTF sits on each Subholding Executive Management Board as an observing member.

Alfa Group Corporate Statute  defines composition and role of various decision making bodies, decision making procedures and  corporate governance policies and procedures. It was approved by Supervisory Board of Alfa Group Consortium and adopted by Subholding Boards of Directors.
