Altimo welcomes result of Turkcell AGM
23 May 2006

Altimo welcomes the results of the Annual General Meeting (AGM) of Turkcell Iletisim held successfully today in Istanbul, with the representatives of Turkcell Holding, Cukurova and TeliaSonera present.

A series of meetings conducted among the major shareholders with Altimo’s involvement allowed the successful passing of the meeting’s agenda, taking a number of key decisions for the company’s future.

Seven members have been elected to the Board of Directors of Turkcell Iletisim – two members representing Cukurova, two members representing TeliaSonera, two members representing Altimo and an independent member. These members are Mehmet Emin Karamehmet, Mehmet Bulent Ergin, Anders Igel, Erdal Durukan, Oleg Malis, Alexey Khudyakov and Colin Williams.

Altimo Vice President Kirill Babaev said: “The election of the new Board marks a new phase in Turkcell Iletisim’s development. Altimo strongly believes the new, more balanced Board representation will help the company prosper further. As a minority shareholder in Turkcell, Altimo will make every effort to ensure Turkcell is run as effectively as possible, generating a valuable return to all its shareholders.”

Altimo Senior Vice President Oleg Malis, newly elected as a Director of Turkcell, said: “We are committed to the future of Turkcell and will work closely with management to serve the company in the interest of all its shareholders”.

Altimo

Altimo, a leading private equity group, operating on some of the world's most desirable and potencially lucrative mobile telecommunications markets, was created in 2005 from Alfa Telecom, which itself was established in 2004 to hold the telecoms investments of the Alfa Group Consortium (Turkcell Iletisim Hizmetleri A.S., Kyivstar GSM, MegaFon, VimpelCom, Sky Mobile). Those assets are in Russia, the CIS and other promising emerging markets.
